General terms and conditions

Section 1 Scope, business-to-business offering
(1) These general terms and conditions apply to all contracts concerning the product "RankCockpit" between Seair Media GmbH & Co. KG, Linienstrasse 38, 82041 Oberhaching, Germany (the "Provider") and its customers.
(2) The offering is directed exclusively at entrepreneurs within the meaning of section 14 of the German Civil Code who act in the exercise of their commercial or independent professional activity when concluding the contract. By placing an order the customer confirms that they are acting as an entrepreneur.
(3) Deviating terms of the customer do not apply unless the Provider expressly agrees to them in writing.
Section 2 Subject matter of the contract
(1) The subject matter of the contract is the one-time handover of the "RankCockpit" software (source code, configuration templates and database schema) including setup documentation and operator handbook, onboarding by video conference in the scope of the license tier purchased (freelancer: two clock hours; agency: four clock hours; for individually agreed packages as separately agreed), and access to maintenance and compatibility updates of the software for twelve months from conclusion of the contract.
(2) The customer operates the software themselves on their own infrastructure and in their own accounts with third-party providers. The Provider owes neither hosting nor operation, monitoring or availability of the software (this is not a software-as-a-service offering).
(3) The scope of the granted rights of use follows from the license terms, which form part of the contract.
Section 3 Conclusion of contract
(1) The presentation of the product on the website does not constitute a legally binding offer but an invitation to place an order.
(2) The contract is concluded when the customer completes the ordering process through the payment service provided and the Provider accepts the order by granting access or by express confirmation in text form.
Section 4 Prices and payment
(1) The price shown on the website at the time of ordering for the selected license tier applies; for agency and individually agreed packages, the fixed price stated in the offer applies. All prices are exclusive of the applicable statutory VAT unless expressly stated otherwise.
(2) Payment is made through the payment service provider offered on the website. The customer receives an invoice in electronic form.
Section 5 Provision
(1) The Provider grants the customer access to the software (a private copy of the source code repository) generally within 24 hours and no later than three working days after receipt of payment.
(2) The onboarding appointment is agreed between the parties. The entitlement to onboarding must be redeemed within eight weeks of provision; thereafter it lapses unless the Provider is responsible for the delay.
Section 6 Customer duties to cooperate
(1) Operating the software requires the customer's own accounts and access with third-party providers (in particular database, hosting, search and AI services). Obtaining them, their cost and their contractual terms are the customer's responsibility.
(2) The customer is responsible for backing up their data and for complying with the legal requirements applicable to them (in particular data protection towards their own clients).
Section 7 Updates
(1) For twelve months from conclusion of the contract the customer receives access, through the repository, to the maintenance and compatibility updates the Provider makes generally available. The purpose of these updates is to preserve the functionality documented at handover, in particular adapting to changes in connected third-party interfaces and fixing defects.
(2) There is no entitlement to particular future features, feature extensions, individual customizations or the continuation of development.
(3) After the twelve months have elapsed, the version supplied remains fully usable; from that point there is no entitlement to further updates.
Section 8 Warranty
(1) The statutory rights in respect of defects apply, subject to the following: the limitation period for claims based on defects is twelve months from provision. This does not apply to claims for damages under section 9.
(2) The agreed quality of the software is the functionality documented at the time of handover. The Provider gives no warranty for particular economic results from using the software, in particular none for placements in search engines or AI systems, nor for the continued availability or compatibility of third-party interfaces.
Section 9 Liability
(1) The Provider is liable without limitation for intent and gross negligence, as well as under the German Product Liability Act and for damage arising from injury to life, body or health.
(2) In cases of ordinary negligence the Provider is liable only for breach of material contractual obligations (obligations whose fulfillment makes the proper performance of the contract possible in the first place and on whose observance the customer may regularly rely), limited to the foreseeable damage typical for this type of contract.
(3) Liability is otherwise excluded, in particular for loss of data insofar as it would have been avoidable had the customer performed proper data backups, and for lost profits.
Section 10 Right of withdrawal
Because the offering is directed exclusively at entrepreneurs, there is no statutory right of withdrawal for consumers. Details under right of withdrawal.
Section 11 Final provisions
(1) The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
(2) If the customer is a merchant, a legal entity under public law or a special fund under public law, the exclusive place of jurisdiction for all disputes arising from this contract is Munich, Germany.
(3) Should individual provisions of these terms be or become invalid, the validity of the remaining provisions remains unaffected.
