1. Subject matter

These license terms govern the use of the "RankCockpit" software, consisting of source code, configuration templates, database schema and documentation (together the "Software"). The licensor is Seair Media GmbH & Co. KG (see legal notice); the licensee is the company named during the ordering process.

2. Grant of rights

(1) Upon payment in full, the licensee receives a simple (non-exclusive), perpetual, non-transferable and non-sublicensable right to use the Software for its own business purposes.

(2) The scope in terms of people depends on the license tier purchased:

• Freelancer license: use by up to three natural persons on the licensee's side.
• Agency/team license: use by the number of persons on the licensee's side specified during the ordering process or in the offer.

(3) What counts is the number of people working with the Software - not the number of installations, projects or clients served.

(4) If the licensee exceeds the tier purchased, the license must be adjusted by licensing up. The amount already paid is credited against it.

3. Permitted use

• Installing and operating the Software on the licensee's own systems and in the licensee's own accounts, without any limit on the number of internal installations and projects - within the number of persons licensed under section 2
• Modifying, adapting, extending and further developing the Software for the licensee's own purposes
• Using the Software to provide services to the licensee's own clients, including setting up client accounts within the licensee's own installation

4. Prohibited use

• Selling, renting, lending, giving away or otherwise passing on the Software or substantial parts of it to third parties
• Sublicensing and making the source code publicly available (including in modified form)
• Offering the Software as a standalone product to third parties, in particular as a hosted service whose essential subject matter is the Software itself (providing your own services with the help of the Software remains permitted under section 3)
• Removing or altering copyright and attribution notices
• Using the name and trademark "RankCockpit" for the licensee's own products or offerings

5. Ownership and your own extensions

All copyrights and other protective rights in the Software remain with the licensor. The licensee holds the rights to extensions and adaptations it creates itself; the underlying Software remains unaffected by this and continues to be governed by these license terms.

6. Third-party components

The Software uses third-party open source components, each governed by its own license terms. An overview is included in the repository. These license terms remain unaffected by those third-party licenses.

7. Updates

Updates the licensee receives under the purchase agreement or later arrangements are deemed part of the Software and are governed by these license terms.

8. Term and termination

The license is perpetual. In the event of a material breach of section 4 that is not remedied despite a written warning and a reasonable deadline, the licensor may terminate the license for cause; in that case the licensee must cease using the Software.

9. Warranty and liability

Warranty and liability are governed by the general terms and conditions.
